End-User Licence Agreement

This agreement is between you and NextGenOmni ("we", "us"), the maker of PDFlare ("the app"). By installing or using the app you accept these terms. They are written in plain English; the plain meaning is the intended meaning.
1. What you bought
- A perpetual licence to use the app on the number of devices your tier allows. One payment. No subscription, no trial, no recurring fees.
- Lifetime updates included. Every version we release, including features on the published roadmap, ships to every existing licence at no extra cost. There is no hidden "Pro edition" behind a second paywall.
- The licence covers commercial use on every tier — you may use the app for paid client work.

- Activation binds to a hashed hardware fingerprint. We never receive or store raw hardware identifiers — see the Privacy Policy.
- Routine hardware changes (a new disk, an OS reinstall) keep your existing activation; they do not consume an extra slot.
- If you hit your limit, the app shows your activated devices and lets you deactivate one yourself. No support ticket required.
3. Who may use it
- The licence is personal to you (or, for a Team licence, to your organisation and its staff on up to the allowed number of devices).
- You may not resell, rent, sublicense, or share your licence key, and you may not redistribute the app or bundle it inside your own product. For a redistribution arrangement, contact pdflare-support@nextgenomni.com.
- You may not remove licence enforcement from the app or help others do so.
4. Your documents are yours
All PDF processing happens on your own computer. Your documents, and their contents, never reach us — so nothing in this agreement gives us any rights over them. They are yours, full stop.
5. The app keeps working — our fail-open promise
- A failed licence check-in never disables anything. An expired licence token never disables anything. If our servers are unreachable — for an afternoon or forever — the app continues to work fully; at most you will see a reminder to reconnect.
- The only thing that can restrict the app is a cryptographically signed revocation of your specific key — issued only if your purchase is refunded or your key is revoked for breach of these terms (for example, a shared or resold key).
- Even then, the app drops to read-only: it still opens, renders, and prints documents. Only saving and exporting stop.
- If the company disappears, your copy carries on unchanged; a server that no longer exists cannot issue a revocation. If we ever deliberately wind the product down, our stated commitment is to publish a final build with licence enforcement removed.
6. Refunds
60-day money-back guarantee, no questions asked — full policy on the refunds page. A refunded purchase revokes the licence key; that is the one case where the signed revocation in section 5 applies. There is no trial; the refund window serves that purpose.
7. Ownership and third-party software
The app and its code remain the property of NextGenOmni. The app includes open-source components under their own licences (MIT, Apache-2.0, BSD); their notices are available in the app under Help ▸ About.
8. What we promise, and what we don't
- We built the app with care and we support it, but it is provided "as is": we do not promise it is free of every defect or fit for every purpose.
- Back up your files. The app writes new output files, but as with any software that touches documents, keep copies of anything important.
- To the extent applicable law allows, our total liability under this agreement is limited to the amount you paid for the licence, and we are not liable for indirect or consequential losses. Nothing in this agreement excludes liability that cannot legally be excluded (including your statutory consumer rights).
9. Term and termination
The licence is perpetual. We may revoke it only if your purchase is refunded or you materially breach these terms (for example, redistributing the app or sharing your key). Revocation works as described in section 5 — read-only, never a bricked app, and your documents remain fully accessible.
10. General
- This agreement is governed by the laws of the jurisdiction in which NextGenOmni is registered.
- If we update these terms for future versions, the changes will not take away what you bought: perpetual use, your device count, and lifetime updates.
